These Membership and Deposit Terms (Terms) govern Vero Membership and your refundable reservation deposit toward a future OrganAge test. They are an agreement between you and Vero Bioscience, Inc. (Vero, we, us or our). By accepting these Terms at checkout and paying the deposit, you agree to these Terms.
1. Eligibility and scope
The membership program is offered to adults aged 18 or older residing in the United States. You must provide accurate contact and payment information and keep your email address current. Membership eligibility does not establish eligibility for testing or for a research study. Testing may be restricted by location, applicable law, clinical requirements and service availability.
2. Your deposit
Vero Membership requires a one-time deposit of US $120. It is not a recurring subscription, and there are no automatic renewal charges. The full $120 will be credited toward your first future OrganAge test purchase if you choose to proceed. The deposit is not the full test price and does not reserve a particular price, discount or appointment.
Paying the deposit does not obligate you to purchase a test and does not authorize Vero to charge you a remaining balance or any additional fee without your separate authorization. You may request a full refund during the refund period described in Section 6, even if you have accessed available membership benefits.
3. Membership benefits
OrganAge reservation. Membership provides priority access to an opportunity to purchase OrganAge testing before broader availability, when testing becomes available in your area and you meet the applicable eligibility requirements. It does not guarantee a particular position in a queue, launch date, appointment or ability to receive testing.
Vero Compass. Membership includes early access to Vero Compass when member access becomes available. Vero Compass is currently under development. Its insights are intended for informational and general wellness purposes and are not intended to diagnose or treat medical conditions. We will provide onboarding instructions and any applicable service terms and privacy disclosures before you use Compass.
Research opportunities. Membership may include access to research opportunities offered exclusively to members, as well as early access to research opportunities that are also available to non-members. All opportunities are subject to availability, each study’s eligibility criteria and IRB-approved procedures. Membership does not guarantee eligibility or enrollment in any study.
4. Availability and timing
OrganAge testing availability and timing may vary by location and service arrangements. Membership does not guarantee a particular launch date or testing availability in your location. Development, laboratory readiness, regulatory requirements and location-specific service arrangements may affect timing. Compass access and research opportunities may follow different timelines; membership does not promise immediate access to either.
Testing may become available in some locations before others. If testing is offered outside your location, you may choose to access it there, subject to applicable eligibility requirements and service arrangements. Membership does not guarantee testing near your home or cover travel or related expenses. Unavailability in your location does not, by itself, trigger an automatic refund. You may request a refund within the period described in Section 6. We will notify you of material changes to testing availability relevant to your reservation.
5. Future test purchase
If testing becomes available to you, we will provide the final test price, the amount remaining after applying your $120 credit, any applicable taxes or additional charges, eligibility requirements, and the terms governing the test before you decide whether to purchase it. You may decline for any reason, including price, and request a full deposit refund within the refund period described in Section 6.
A future test purchase requires a separate affirmative decision and any required consents. When you complete your first OrganAge test purchase using the deposit, the $120 credit becomes part of your test payment and the deposit refund right under these Terms ends. Any subsequent cancellation or refund is governed by the test-purchase terms provided before purchase and applicable law. Merely booking an appointment, without completing the test purchase, does not end your deposit refund right.
6. Cancellation and full refunds
You may cancel your reservation and request a full $120 refund before completing your first OrganAge test purchase using the deposit or before the second anniversary of your membership deposit payment, whichever occurs first. Receiving an invitation to purchase testing or booking an appointment without completing the purchase does not, by itself, end this right. Using Compass or applying to a research study does not reduce the amount refundable. A refund request received before the applicable deadline remains eligible even if transaction verification or refund processing is completed afterward.
To request a refund, email hello@verobioscience.com from the email address associated with your membership, stating that you wish to cancel your reservation. Include your name and, if available, your receipt or transaction reference. Do not send medical information or full payment-card details. We may request reasonable information to verify the transaction; failure to include a receipt does not remove your refund right.
We will initiate the full refund within 10 business days after receiving your request, or sooner if required by law. If reasonable transaction verification is necessary, we will request it promptly. You must cooperate with reasonable verification requests, and we may pause processing while awaiting information necessary to verify the transaction. No payment-processing or administration fee will be deducted. Refunds will normally be sent to the original payment method. Your bank or payment provider may take additional time to post the funds. If that method cannot receive the refund, we will work with you to arrange a lawful alternative.
Once you complete your first OrganAge test purchase using the deposit, the deposit becomes part of the test payment and the deposit refund right under this section ends. Any cancellation or refund after that purchase is governed by applicable law and any test-purchase terms disclosed to you before purchase.
If you have not used the deposit by the second anniversary of payment, your right to request a cancellation refund under this section expires. No automatic refund occurs solely because two years have passed. Your unused $120 credit remains available toward your first OrganAge test purchase, and your membership continues under Section 8. This deadline does not limit refunds under Section 7 or rights or remedies required by applicable law.
7. Cancellation by Vero
If Vero permanently abandons plans to offer OrganAge testing or cancels your outstanding reservation without honoring your unused test credit, we will notify you and automatically refund your unused deposit in full. You do not need to submit a refund request. We will initiate the refund within 10 business days after notifying you, or sooner if required by law. The refund-method and payment-provider provisions in Section 6 apply.
Delays, lack of testing availability in a particular location, or closure of the program to new members do not, by themselves, trigger an automatic refund, provided Vero continues to honor existing reservations and test credits. You may request a cancellation refund within the period described in Section 6.
8. Membership duration
Vero Membership continues indefinitely unless terminated under these Terms. Purchasing your first OrganAge test does not end your membership. There are no recurring membership fees or automatic renewal charges under these Terms. Vero may introduce additional membership benefits from time to time and will communicate their availability and applicable conditions separately. No particular additional benefit is guaranteed.
A full refund of your membership deposit ends your membership and the associated membership benefits. Any separate test purchase, service agreement or research participation remains governed by its own terms and applicable consents.
9. Research participation and health information
Membership is not consent to participate in research. Each study requires its own eligibility screening and informed consent process. Participation is voluntary, and declining or withdrawing from research does not forfeit your deposit refund right. Membership does not guarantee any health outcome or that a particular study, intervention or test will be appropriate for you.
General membership content and Compass wellness insights do not replace advice from a qualified healthcare professional. Do not use them to make a diagnosis or change medical treatment without appropriate clinical advice. Any future clinical testing and associated professional services will be governed by their own terms and consents.
10. Privacy, payments and communications
Our Privacy Policy, available at https://www.verobioscience.com/privacy, explains how we handle personal information. Accepting these Terms does not constitute research consent or a blanket authorization to collect or use health data. Additional privacy disclosures and permissions will be provided where applicable when you access Compass, submit an eligibility profile or purchase testing.
Payments are processed through Stripe or another disclosed payment provider. Terms for optional payment-provider services, such as Stripe Link, apply separately when you choose to use them; they do not replace Vero’s obligations under these Terms. We may email you receipts, refund confirmations, availability updates and other notices needed to administer your reservation and ongoing membership. Marketing preferences are managed separately; opting out of marketing does not cancel your reservation or membership.
11. Changes and termination
We may update these Terms prospectively. Material changes affecting your existing reservation or membership require advance notice and, where required, your agreement. Posting revised Terms alone will not reduce your existing refund entitlement, authorize additional charges or retroactively remove promised benefits. If Vero ends the membership program for existing members, we will notify you and your membership benefits will end. Your unused $120 test credit will remain available toward your first OrganAge test purchase. If Vero also cancels your reservation without honoring that credit, the refund provisions in Section 7 apply. Closing enrollment to new members does not, by itself, end existing memberships.
We may terminate a reservation or membership for fraud, unauthorized payment, material misuse of the program or legal requirements. If we terminate, we will refund any deposit we received and have not already refunded or applied to a test purchase, except where repayment is legally prohibited or the payment has already been reversed. We will not retain the deposit as a penalty. Any rights relating to a separate test purchase remain governed by its terms and applicable law.
12. General terms
These Terms govern membership and the reservation deposit. Separate terms apply to any subsequent test purchase, Compass service or research participation. Those later terms do not retroactively remove rights that accrued under these Terms. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision does not waive the right to enforce it later.
Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded or limited. These Terms do not limit Vero’s express obligation to return a refundable deposit.
